Note for Members that are IRAs:  If you are not forming an LLC for your 401(k) or retirement plan then before you complete this Questionnaire you must open an IRA account with a custodian that will allow for self directed investments and transfer funds to the new custodian.  See the list of custodians our IRA LLC clients have used.  After opening the account with the custodian and transferring funds to the account you must complete our online invoice and submit it to the custodian with a request to pay our fee.

Arizona IRA LLC Formation Fee

Enter the exact name of the LLC. The name must end with LLC. Check the Arizona Corporation's entity name availability database to make sure the desired name is available. Go to the prior link. Click on Name - Forms for entity name reservations. Next click on Check Entity Name Availability. Enter the desired name with LLC or L.L.C. at the end. Click on Select an Entity Type. Select LLC. Click on Check Name. If the name is not available, check an alternate name.

Give a brief statement explaining what the LLC will do. This is for Richard Keyt's information only. It is not contained in the Articles of Organization filed with the state.

Optional Address Service If You Don't Want Your Address on the Public Records of the Arizona Corporation Commission

The company must state its principal address in its formation document, the Articles of Organization that is filed with the Arizona. The company's principal address is its mailing address. The principal address does not have to be in Arizona. If you don't want your address to appear on the ACC's public records purchase our address service for $100/year.

Member Information

In this section you must name every person, entity or trust that will be an owner of the LLC. An owner of an LLC is called a member.

Multimember LLCs. Most of the IRA / retirement plan LLCs we form are owned by one member, which is the custodian of the IRA account or the administrator of the retirement plan. It is possible for an IRA / retirement plan LLC to have more than one member. The percentage of membership (ownership) must be in the same proportion as the funds coming from each member. For example, if member #1 and member #2 will contribute $75 and $25 to the LLC then their percentage membership interests are 75% and 25%, respectively.

Warning: If the IRA owner or retirement plan owner will not contribute any of his or her personal funds to the LLC the IRA owner or retirement plan owner may not be a member.

What is this LLC Owner/Member?*

Name of the person who is the owner of the IRA, 401(k) or retirement plan as shown on the custodian's or plan administrator's account.

Name of the custodian of the IRA account or the plan administrator or trustee of a retirement plan that is not an IRA. The custodian / plan administrator will be the member for the benefit of the IRA owner's IRA account or the retirement plan owner's retirement plan account.

Note: The owner of the IRA account or retirement plan is typically the manager of the LLC, which gives the IRA / retirement plan owner "check book" control.
